Opportunistic capital raise with proceeds intended to enhance financial flexibility and support growth initiatives TAIPEI, Taiwan and MILPITAS, Calif., Aug. 10, 2026 (GLOBE NEWSWIRE) -- Silicon Motion Technology Corporation (NasdaqGS: SIMO) ('Silicon Motion”), a global leader in designing and marketing NAND flash controllers for solid-state storage devices ('SSDs”), today announced the pricing of its offering of $1,000,000,000 aggregate principal amount of 0.00% convertible senior notes due 2031 (the 'Notes”) in a private offering to persons reasonably believed to be 'qualified institutional buyers” pursuant to Rule 144A under the Securities Act of 1933, as amended (the 'Securities Act”). The offering size was increased from the previously announced offering size of $800,000,000 aggregate principal amount of Notes. The issuance and sale of the Notes are scheduled to settle on August 13, 2026, subject to customary closing conditions. Silicon Motion also granted the initial purchasers of the Notes an option to purchase, for settlement within a period of 13 days from, and including, the date the Notes are first issued, up to an additional $150,000,000 aggregate principal amount of Notes.
