ATLANTA, Oct. 22, 2026 (GLOBE NEWSWIRE) -- Atlantic American Corporation (Nasdaq: AAME) today announced that on October 16, 2026, the Company received a Staff Delisting Determination (the 'Staff Determination”) from the Listing Qualifications Department of The Nasdaq Stock Market LLC ('Nasdaq”), which notified the Company that it has initiated a process to delist the Company’s common stock. The Staff Determination was issued because the Company had not filed its Annual Report on Form 10-K for the year ended December 31, 2025 (the '2025 Form 10-K”) and its Quarterly Reports on Form 10-Q for the quarterly periods ended March 31, 2026 and June 30, 2026 (collectively, the 'Delinquent Reports”) by the previously extended deadline of October 12, 2026, and therefore was not in compliance with Nasdaq Listing Rule 5250(c)(1) (the 'Rule”). The Rule requires companies listed on Nasdaq to timely file all required periodic reports with the Securities and Exchange Commission ('SEC”).
TickrTrends take: Atlantic American Corporation, which operates in the Financial Services sector, has received a delisting determination from Nasdaq related to delayed filings of periodic reports. Given that TickrTrends currently assesses the stock as fairly valued, investors monitoring the company should track whether regulatory compliance improves, as unresolved delisting risks could pressure the valuation if the company fails to regain compliance. The outcome of filing delays and any subsequent listing status changes will be material factors for reassessing whether the fairly valued designation remains appropriate.
